Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern access to and use of Particles at https://particles.parts and related software, APIs, and services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use Particles on behalf of a company, you represent that you can bind that company.
2. The Service
Particles helps spare-parts businesses receive customer requests over WhatsApp (text, voice, and images), extract vehicle and part information with AI, look up vehicles and catalog data, and reply to customers. Customers may connect their own WhatsApp Business Cloud API credentials, ERP systems, vehicle-data providers, and optionally their own AWS account.
Particles is a multi-tenant platform: each Customer connects their own WhatsApp Business number. On the Customer’s behalf, Particles can receive messages sent to that number and send messages from that number using the credentials the Customer provides.
3. Accounts and eligibility
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding login credentials and for activity under your account.
- Accounts may require admin approval before full access is granted.
- You must be able to enter into a binding contract and use the Service only for lawful business purposes.
4. Customer responsibilities (including WhatsApp)
If you connect WhatsApp or other third-party systems, you are responsible for:
- Owning or having lawful authority to use the WhatsApp Business Account, phone number, and API tokens you connect.
- Complying with Meta’s WhatsApp Business terms, commerce and messaging policies, and applicable privacy/telecom laws when messaging end users.
- Providing any notices and obtaining any consents required for your customers’ messages to be processed by Particles and Meta.
- The content of messages you send and the accuracy of parts, pricing, and availability information you rely on.
- Securing ERP, AWS, and other credentials you store in Particles.
- Not using the Service to spam, harass, commit fraud, or violate export, sanctions, or other laws.
5. Our role regarding end-user WhatsApp data
For WhatsApp conversations belonging to your business number, you are the business communicating with end users. Particles provides software that processes those messages to deliver the features you enable. Our Privacy Policy and User Data Deletion page describe how that data is handled and how deletion can be requested.
6. AI and third-party services
AI outputs (transcriptions, part suggestions, replies, vehicle matches) are assistive and may be incorrect or incomplete. You must review critical information before ordering parts or promising availability to customers. Third-party services (Meta, AWS, ERP vendors, vehicle-data providers, search APIs) have their own terms; your use of them through Particles remains subject to those terms and any fees those providers charge.
7. Acceptable use
- Do not attempt to access other Customers’ data or interfere with the Service.
- Do not reverse engineer the Service except where mandatory law allows.
- Do not upload malware or attempt to bypass security or usage limits.
- Do not use Particles to process data you are not allowed to process.
8. Intellectual property
Particles and its software, branding, and documentation remain owned by us or our licensors. You retain ownership of your business data, message content, and credentials. You grant us a limited license to host and process that content solely to provide and improve the Service.
9. Availability and changes
We aim for reliable operation but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features with reasonable notice when practicable. WhatsApp delivery depends on Meta and on your configuration of tokens, webhooks, and phone numbers.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI IDENTIFICATIONS, STOCK RESULTS, OR REPLIES WILL BE ERROR-FREE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE CLAIM (OR, IF NONE, USD 100).
12. Indemnity
You will indemnify and hold us harmless from claims arising out of your misuse of the Service, your WhatsApp messaging, your violation of Meta or other third-party terms, or your infringement of others’ rights, except to the extent caused by our willful misconduct.
13. Suspension and termination
We may suspend or terminate access if you violate these Terms, if required by law or platform partners (including Meta), or if your use creates risk to the Service or others. You may stop using the Service and request account deletion as described in the User Data Deletion instructions.
14. Governing law
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. Courts in Tel Aviv-Yafo shall have exclusive jurisdiction, unless mandatory consumer protections in your country say otherwise.
15. Changes to these Terms
We may update these Terms by posting a revised version with a new “Last updated” date. Material changes will be communicated when reasonable. Continued use after the effective date constitutes acceptance where permitted by law.
